Terms of service

Welcome to Quivr! By accessing our website or using any of our free or paid services, you agree to be bound by the following Terms of Service (“Agreement”). Please read them carefully.

ARTICLE 1 – DEFINITIONS

Customer / User: The individual or legal entity accessing or using the Services.
Provider: Quivr SAS (or Quivr Inc., depending on jurisdiction).
Services: Quivr’s software solutions powered by artificial intelligence, designed to optimize customer service processes and assist users in handling requests.
Effective Date: The date the User first accepts these Terms.

ARTICLE 2 – PURPOSE AND SCOPE

2.1 Purpose of the Service
Quivr provides an AI-powered SaaS platform that integrates with customer service tools to suggest and automate responses, streamline customer interactions, and improve resolution times.

2.2 Description of Services
To deliver its Services, Quivr may require access to business and customer data, including (but not limited to) CRM information, support tickets, and knowledge base content.

ARTICLE 3 – SUBSCRIPTION, FEES & PAYMENT

3.1 Subscription Period
Unless otherwise agreed, subscriptions are monthly and automatically renewed unless terminated in accordance with Article 7.

3.2 Fees

Pricing plans are published on Quivr’s pricing page and may vary depending on usage or selected tiers.
Quivr reserves the right to update fees with at least 30 days’ prior notice.

ARTICLE 4 – DATA PROTECTION & CONFIDENTIALITY

4.1 Personal Data Processing

The Parties undertake to comply with the GDPR (Regulation (EU) 2016/679) and any applicable local data protection laws.
Customer acts as Data Controller, Quivr acts as Data Processor.

4.2 Quivr’s Obligations
Quivr will:

Process personal data only on documented instructions from Customer.
Implement appropriate technical and organizational security measures.
Notify Customer of any personal data breach without undue delay.
Assist Customer in fulfilling data subject rights requests.

4.3 Confidentiality
All business, customer, and technical information exchanged shall be treated as strictly confidential and not disclosed to third parties without prior written consent.

4.4 Subcontractors
Quivr may use subcontractors to provide its Services, subject to equivalent confidentiality and data protection obligations.

ARTICLE 5 – CUSTOMER OBLIGATIONS

Customer agrees to:

Provide accurate information and ensure lawful collection of personal data shared with Quivr.
Not misuse the Services (including attempts to reverse-engineer, disrupt, or use for unlawful purposes).
Be responsible for maintaining the security of its own accounts and access credentials.

ARTICLE 6 – LIABILITY & LIMITATION

6.1 Liability Cap
Quivr’s liability shall not exceed the total fees paid by Customer in the 12 months preceding the event giving rise to liability.

6.2 Exclusions
Quivr shall not be held liable for indirect damages such as lost profits, data loss, or business interruption.

ARTICLE 7 – TERM & TERMINATION

7.1 Initial Term
This Agreement enters into force upon acceptance and remains valid for an initial term of 12 months, unless otherwise specified.

7.2 Renewal
The Agreement will automatically renew for successive 12-month periods unless either Party provides written notice of non-renewal at least 30 days before expiration.

7.3 Termination Rights

Customer may terminate after a minimum commitment of 6 months, subject to 2 months’ written notice.
Either Party may terminate immediately in case of material breach not remedied within 30 days.

ARTICLE 8 – GOVERNING LAW & DISPUTES

If Customer is based in the EU, this Agreement is governed by French law and disputes shall be submitted to the exclusive jurisdiction of the courts of Paris.
If Customer is based in the US or outside the EU, this Agreement is governed by the laws of the State of Delaware, with exclusive jurisdiction in Delaware state or federal courts.

ARTICLE 9 – MISCELLANEOUS

Amendments: Any changes to these Terms must be made in writing. Quivr may update these Terms by providing at least 30 days’ prior notice. Continued use of the Services constitutes acceptance.
Publicity Rights: Quivr may identify Customer as a user of the Services in non-public contexts (e.g. investors, advisors), unless otherwise agreed.
Severability: If any provision is found invalid, the remainder of the Agreement shall remain in effect.
